runrates.ai is a software-as-a-service (SaaS) platform provided via the internet. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. The Service is provided “as available” and may be updated, modified, or discontinued at our discretion. We reserve the right to add, change, or remove features at any time, with or without notice.

3. User Accounts

To access certain features, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security and confidentiality of your login credentials.
  • Notify us immediately of any unauthorized access or use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period. You may delete your account at any time through the Service settings.

4. Acceptable Use

7. Payment Terms

Certain features of the Service may require a paid subscription. By subscribing to a paid plan, you agree to the following:

  • Payment Methods: You must provide a valid payment method. You authorize us to charge your payment method for all fees incurred.

  • Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until then.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • The results obtained from the Service will be accurate or reliable.
  • Any defects in the Service will be corrected.

You acknowledge that your use of the Service is at your sole risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL runrates.ai, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service.
  • Any conduct or content of any third party on the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination:

  • Your right to use the Service ceases immediately.
  • We may delete your account data after a reasonable retention period (typically 30 days), unless we are required by law to retain it.
  • Any provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your account at any time by contacting us or using the account deletion feature in the Service.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to the new terms taking effect. Notice may be given by posting the updated Terms on the Service, by email, or through an in-app notification.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the new terms, you must stop using the Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which runrates.ai operates, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to the exclusive jurisdiction of the competent courts in that jurisdiction.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.
